Canadian Firm Gobbling Up Dozens of Manufactured Home Communities

New Canadian Apartment Properties Real Estate Investment Trust CEO Mark Kenney isn’t wasting any time putting his stamp on the trust, announcing its second major purchase of manufactured homes communities (MHCs) in the past three weeks. The latest acquisition of 23 Canadian communities, comprising 3,469 pads, means the trust will have grown its MHC portfolio by 45 per cent in that short span,” said Real Estate News Exchange (RENX).

 

NBC News 29 said, “Mark Kenney has been appointed Chief Executive Officer of CAPREIT and as a member of CAPREIT’s board of trustees, effective March 27, 2019.”

MarketWatch reported on November 14, 2018 that “Canadian Apartment Properties Real Estate Investment Trust (CAR.UN) (“CAPREIT”) today announced that Mark Kenney has been appointed President of CAPREIT, in addition to his current role of Chief Operating Officer, effective today.”

Bloomberg’s ticker reflects the following trends since November 14, 2018, when the executive change noted was announced.

We look to continue expanding this highly accretive aspect of our business going forward,” Kenney told RENX in an interview, speaking about manufactured home communities.

in March, CAPRIET announced a deal for 11 communities in Ontario, B.C. and Alberta. The trust’s portfolio will grow to some 11,166 sites in 68 communities when both transactions have closed.

Kenney said CAPREIT likes the manufactured home communities market for its steady cash flow and minimal capital costs.  That sums up the view of several who have done both multifamily apartments and manufactured home communities.

Funding the Deal

CAPREIT said they will be doing a $300-million share offering, issuing 6,125,000 shares at $49 per unit to a syndicate of underwriters led by RBC Capital Markets. That offering is expected to close by April 23, said RENX.

  • $116 million of those proceeds will fund the equity portion of the most recent purchase. CAPREIT stated it expects its debt ratio to remain unchanged, roughly 38 percent.
  • The most recent acquisitions of MHCs by the Canadian REIT are located in five provinces, but are concentrated in three regions: 47 per cent in Atlantic Canada, 23 per cent in Ontario and 30 per cent in Alberta. Occupancy stands at 95.4 per cent.
  • Beyond the equity funding, CAPREIT assumes $66 million in existing mortgages with a weighted average interest rate of 3.4 per cent and a weighted average term of 2-1/2 years. Closing is expected in May 2019, subject to approvals.

While the two nations have their clear differences, some of the dynamics in Canada for their manufactured homes and communities have some similarities to their southern neighbors in the United States.

Cavco Industries Woes Mount, Official, Unofficial Insights, Broader Manufactured Home Industry Impacts?

One could unpack those disclosures at great length and depth.

But what was not directly stated was that the number of shareholders plaintiffs’ attorneys doing “investigations” of Cavco and CVCO stock has mounted. It’s about a dozen known firms, to date – and while it is implied by Fusler – it is not bluntly stated.

Nor was it directly said that Cavco continues to take several preparatory moves, per legal sources, that make it clear that they expect a potentially protracted legal battle over the Stegmayer-SEC subpoena reported issue. That too may be construed as implied, but was not stated.

 

 

The Curious Case of Cavco and Joe Stegmayer?

There are communications that have been sent to MHProNews as news tips that have occurred since he stepped down as chairman and CEO of Cavco that some might interpret as Stegmayer exercising more leadership at Cavco than his current job title may imply.

The fact that Stegmayer is still Chairman of the Manufactured Housing Institute (MHI) Executive Committee ought to be of interest too.

Why? Several possible reasons, per sources that include, but may not by limited to the notion of “derivative liabilities.” We will explore that topic in an upcoming report.

But look again at this part of Fusler’s disclaimer statements: “...market forces and housing demand fluctuations, our business and operations being concentrated in certain geographical region, the loss of any of our executive officers, federal government shutdown, and extensive regulation affecting manufactured housing…”

Which of those plaintiffs attorneys investigating Cavco have begun to uncover the various concerns about alleged market rigging or related that has been raised by MHProNews, MHLivingNews, MHARR and others? Which shareholders investigators have connected the relevant dots between Cavco, Clayton, and MHI?

Or who at the SEC is doing so?

How many of those shareholders attorneys or the SEC have had staff pouring over reports published here or elsewhere about Stegmayer, Cavco, Clayton, and MHI?

Without revealing sources and methods, it is common-sense to think that such research is the underway. If so, doesn’t that mean that Cavco’s legal bills and exposure will mount?

But the market’s investors are apparently beginning to regain a measure of confidence in Cavco. They may – correctly or incorrectly – think the worst is over for CVCO, and that the stock is now “a value” in the Warren Buffett sense of the term.

Sidney Powell, JD, Former Federal Prosecutor on “Licensed to Lie”

Stating the obvious can bring clarity to any subject. Objectivity is necessary in the affordable housing sector, as well as the manufactured home segment of housing. Businesses and investors act upon reality, or what they think is reality.

 

More broadly, objectivity – the search for truth vs. a convenient or comfortable story – is useful if not necessary in all things. For example, a person of sound mind doesn’t pay a physician to give a knowingly false diagnosis.

With that understanding, there are powerful currents at play in the U.S. in our era. Indeed, they are global currents, at work here and abroad. The Open Markets Institute (OMI) described it in these terms.

Big business and wealthy donors fund lobbyists and think tanks, corrupt academic science with “sponsored” research, and underwrite popular media publications and news networks. Through all these mechanisms, moneyed interests can control the flow of information in public debates and determine which issues become part of the nation’s political agenda, and which remain on the fringe,” said OMI.

That in a nutshell describes much of what MHProNews and our sister site, MHLivingNews, has been working to unmask via research, following the money, and documenting the evidence for years.

 

The Two Major Parties and Political Clout

One ought to mention in passing the “unholy alliance” that Senator Rand Paul (KY-R) has cited between Democrats and Republicans. That unholy alliance extends to ballot access at the state or local level. It’s a way of protecting the two major parties against potential alternatives. Libertarian, Green, Constitutional, and other parties are often kept off the ballot through standards that routinely are difficult for any but the two major parties to achieve.

Rephrased, it’s political collusion between Democrats and Republicans that results in a political monopoly.  More precisely, it’s a duopoly.

That’s not news for some, but it would be for tens of millions of others. Nor does that does mean that the two parties are the same. They clearly are not. But they do at times work to preserve each other’s monopolies – duopoly – in the political sphere.

Once that “unholy alliance” is better understood, several items come into focus. These issues absolutely impact manufactured housing, and other professions as well.

But what makes HUD Code manufactured homes more vulnerable than other professions to political and regulatory winds is the relative weakness of the sector, due to its current size. In that limited sense, a point previously made by Nathan Smith of SSK Communities is correct, today, manufactured homes are a “boutique industry.”

That relatively small size of our industry today allows connected power players, including Smith and his “F” rated by the Better Business Bureau (BBB) SSK Communities, to influence the system more than others. Smith, a prominent Democrat, is the former chairman of the Manufactured Housing Institute (MHI) and their current MHI PAC chair. Quoting Smith should NOT be construed in any sense as an endorsement, we merely note that he is correct on the narrow point about the industry being “boutique” in size, more on Smith is found at the link here.

The industry’s small size clearly means that manufactured housing is more subject to other political or economic forces. When billionaires or wealthy firms want to buy influence, they can do so readily. If necessary, those with deep pockets can back candidates on both sides of the two-party political aisle, knowing they will then have an open door to whomever gets in office. Smith and others have made that same point.

Which goes back to the concept cited from Open Markets. Those who think that term limits or rolling back the Citizens United decision will change American politics may be sincere, but that vantagepoint is nevertheless mistaken.

Here’s how Open Markets explained it in an article entitled, Democracy and Monopoly.

More fundamentally, the focus on campaign finance reform fails to address the many other ways in which concentrated moneyed interests corrupt the political process.”

With that sobering yet arguably accurate backdrop consider this.

 

Each Major Party Has at Times Weaponized Federal Power 

What the former President Richard Nixon (R-GOP) era Watergate scandal brought to light was the high-level weaponization of the intelligence and federal law enforcement services. Before Democratic supporters gloat over that reality, it’s arguably happened as recently as the Obama Administration (D) era too. Some presidents – across the left-right divide – have done so with more or less vigor than others.

Many today feel frustrated by politics, but they may not be aware of the power they have.

The ultimate power of the legal system – the final word – lies in the hands of potential jurors. The power to enforce a law – whenever a defendant insists upon it – is decided by citizen-jurors.

So never forget, you have more power over the law than you may realize. One juror can hold out, and effectively nullify a prosecution. It’s a principle long established in U.S. law. The juror can even ignore the judge’s instructions, and vote “not guilty,” as the legal citations below demonstrate.  That’s why the jury system was put in place in the constitution. Constitutional rights protect individual liberty, including against the power of rouges in runaway government, or the uber-rich who may misuse wealth to dominate the political system.

You don’t have to be a fan of President Donald J. Trump to want equal justice under the law to be the the goal. Special Counsel Robert Mueller’s probe has arguably been illicit from the beginning. Democrat-backer Alan Dershowitz, Harvard Law professor emeritus, has argued against it. Mark Levin, JD, was anti-Trump before he became pro-Trump.  Levin has been shining a light on this topic for over a year. So too has MHProNews.

 

 

The president is a man, so by definition, he’s imperfect. That said, there is no known evidence of Russian collusion. Yet over 40 percent of the nation, according to public opinion polls, believe that to be the case. That’s possible because of the repeated reference to “allegations” of “Russian Collusion.” A lie, falsehood, spin or error repeated often enough becomes more widely believed.  Manufactured housing professionals – as part of a widely misunderstood industry – should be very sensitive to that sad reality.

As Attkisson suggests, question authority, follow the money, follow the evidence, and think objectively for yourself.

If POTUS Trump was a Russian pawn, as some oddly claim, then why is his foreign policy taking so many hard stands against Russian interests?

Russia has interfered in American and other elections for decades.  But so too as the U.S. interfered in the internal affairs of Russia and other nations. The claim of Russian collusions with the candidate Trump are absurd on its face. Whatever the political motivations of those who continue that false narrative, the reality is there is no evidence for it, after years and millions of dollars spent.

So the points – several – could be summed up like this. As the special counsel’s probe winds down, a report will be issued. As Mark Levin – himself a former Reagan era federal attorney – argues, this probe was tainted from the start. Mueller’s appointment was a political tool. It has had some success, as the 2018 midterms demonstrated.

As political independents, the publishers of MHProNews believe there are places that the two parties can and should work together in a bipartisan way. We’ve preached separating ‘wheat from chaff‘ for years.  A new example is the report linked here and below.

 

 

But it is important to recognize that the news can and is manipulated. The Open Markets Institute (OMI) is arguably correct about that claim. It’s a point that MHProNews – as the largest and most-read trade publisher in manufactured housing – has hammered on for years.

There are reasons that the axis and their surrogates fear MHProNews in industry trade publishing, because unmasking the truth is the start of becoming more free. Or as the Good Book says, “My People perish for a lack of knowledge,” (Hosea 4:6) and “…the truth will set you free.” (John 8:32b).

The rule of law is necessary and healthy for investment and the ownership of private property. So, violations or abuses of the rule of law will routinely harms numbers of individuals, investors, and businesses.

Understanding combined with correct action are the ways that manufactured housing will regain – and can surpass – its prior glory days.  The same is true for our American Republic.

It’s a huge business opportunity. With more than 600,000 new homes sold in the U.S. alone last year, there are billions of dollars to be made by anyone who can get a head start in dragging the industry into the tech age — something Amazon has accomplished in multiple businesses,” wrote the LA Times Aurora Percannella for the Herald Courier.

 

The niche that Plant Prefab is custom houses for the urban market. Amazon believes Alexa will be at home there.

 

 

The video interview and tour of the Plant Prefab production center reveals that they currently plan to target custom projects, as opposed to high volume building.

 

Prefab is a form of technology used across the industry to some extent, and it’s increasingly looked at as we face affordability issues and labor shortages,” David Kaiserman, president of Lennar Ventures said.

Kaiserman noted that Lennar already prefabricates roof and wall components in the builders on-site construction.  He also stated that Amazon approached Lennar about creating housing that work with Alexa seamless, without dead spots.

The infrastructure is super-critical,” said Kaiserman, per Percannella, noting that the Lennar unit leader expressed no surprise over Amazon’s investment in Plant Prefab.

Earlier this year, the video page above noted that Amazon announced its first ever foray into the home-building industry with an investment in Plant Prefab.  While that may be true in a strict sense, Amazon has been involved in selling container housing for at least a year, as the Daily Business News on MHProNews noted last year.

Those 400 square foot Plant Prefab ADU’s will go for about $160,000, with one bedroom, one bathroom. But the firm says on a larger home that a couple bought, they shaved months of their delivery time line, and saved $80,000 off the cost of conventional on-site building.

Real estate economist Gerd-Ulf Krueger states their business model is likely what attracted Amazon. “It’s a test to see if the model can actually bring down prices in cities with housing shortages,” Krueger said.

That wasn’t Terry Decio, who is a Manufactured Housing Institute (MHI) member. But Terry Decio told MHProNews, “I’m tried of being the best kept secret. I’m ready to help house America.”

What all of the above sources agreed upon is that manufactured housing is misunderstood.

That misunderstanding is demonstrably costing the industry billions a year in additional sales.

That misunderstanding is an information or educational issue. James McGee at Deer Valley Homes, with Chet Murphree stating his agreement, said that the core issue facing manufactured housing could be boiled down to education.

Ideally, journalism is also about a search for truth. Regrettably, we know from experience today that there are broad camps in journalism. News is a business. The product is information. Is that information trustworthy?

Warren Buffett is largely right about this next statement. “Chains of habit are too light to be felt until they are too heavy to be broken,” cited by BrainyQuote. Rephrased, people can be enslaved by habits and thinking. Sad, but largely true.

One can’t, nor should, deny the success of Mr. Buffett. But one can and should ask, question, and probe his impact on manufactured housing, and our nation.

Mr. Buffett has been cited as one of the 100 most influential people in America in 2012 by Time Magazine. The vast majority of manufactured housing bloggers, writers, and publications will not question Mr. Buffett in public. Why not? Is he the creator? Hardly. He was born, lives, and will die someday. He’s successful, but himself admits he’s made mistakes.

Mr. Buffett is highly intelligent. Shrewd might be a good word to describe him.

So why has Buffett:

  • a man with so much money,
  • influence,
  • and power
  • not use that influence or resources to advance the manufactured housing industry?
  • Why has he failed to routinely use his numerous Berkshire Hathaway owned media outlets to set the record straight on manufactured homes?

Finally, let’s turn to one of the most vilified men in America today, President Donald J. Trump. Thomas Friedman in the New York Times said the stock market would crash if Mr. Trump became president. Numerous voices on the left, including Secretary Hillary Clinton and former President Barack Hussein Obama, also predicted doom and gloom for America if Mr. Trump became president.  Mr. Buffett took numerous public shots aimed at Donald J. Trump over the years.

But would the economic and regulatory improvements that occurred for manufactured housing in the last 20 months have taken place under Secretary Clinton?  After all, Ms. Clinton pledged more of the same policies as former President Barack Obama – so logically – wouldn’t her results be like his? Why did Warren Buffett support heavy regulations? Who benefited from those high tax and high regulation policies?

 

 

Millions love him, and believe President Trump is making the lives of tens of millions in America better.  The economy has advanced more in 20 months since Mr. Trump became president than it did under 8 years of former Presidents George W. Bush or 8 years of Barack Obama.

After a modest 1 percent increase in year over year (YoY) production increases in 2018 vs. 2017, the growth in production for manufactured housing has taken a heftier bump up.

 

A total of 6,781 homes shipped in July 2018.  By comparison, 5,803 shipped in July 2017. That is a 16.85 percent YoY increase.

Results Matter

The Manufactured Housing Institute (MHI), which claims to be doing promotion for the industry, has to be measured against actual results, not just words or years of what some of their members have said are the “same old posturing and promises.”

But should the independent producers, retailers, communities, lenders, and others in the industry be surprised?  Recall what MHI President and CEO, Richard ‘Dick’ Jennison said, 4 years ago, because he candidly signaled then the reality that exists today.  As publisher L. A. ‘Tony’ Kovach said, “The facts speak loudly, and the rest are details and commentary.”

 

As the Daily Business News on MHProNews exclusively reported last month, 20 years ago, manufactured housing used to outperform RVs in shipments.

Court Hands DOE Procedural Victory in Potentially Costly Manufactured Housing Energy Standards Case

The court in the Sierra Club V. Perry case has handed DOE [Department of Energy] a procedural victory, for the moment, in the case brought by the Sierra Club, trying to force the Department to act on the MH energy rule,” said Mark Weiss, JD, President and CEO of the Manufactured Housing Association for Regulatory Reform.

 

After the Sierra Club filed its suit, DOE filed a motion contesting its standing to bring suit in this matter on behalf of its members,” stated Weiss, who is an attorney.

In comments about the ruling last week requested by the Daily Business News on MHProNews, Weiss also said that the “Sierra Club responded by filing an amended complaint (which it has a right to do), and filing a motion for partial summary judgment, essentially trying to leapfrog the standing issue and get an order stating that DOE violated the EISA [Energy Independence and Security Act of 2007] mandate to establish an MH energy standard within five years of passage.”

DOE then filed a motion to hold Sierra Club’s motion for partial summary judgment in abeyance, while the standing issue is addressed by the court,” Weiss’ play by play explained.

The court, last Thursday [8.16.2018], granted that DOE motion to hold consideration of Sierra Club’s motion for partial summary judgment in abeyance, as shown by the docket note below.  In the note, “plaintiff” refers to the Sierra Club, “defendant” refers to DOE.  This is positive news for the moment, but does not guarantee anything regarding the final outcome,” per Weiss.

It’s a positive step for the industry, which has had this potentially costly rule hanging overhead for years.

MHARR fought the DOE rule from the outset, but for years, the Manufactured Housing Institute (MHI) inexplicably supported standards third party research said could have added some $6,000 to a single section manufactured home.

After years of pushback by MHARR, the Small Business Administration, MHProNews, and other advocates for the industry, MHI finally flip-flopped on the issue last year.

The Trump Administration’s administrative executive orders put a stop to the matter, until the Sierra Club suit has revived the matter.

 

In the District of Columbia District Court, Judge Emmet G Sullivan ruled as follows, per the Pacer Monitor.

“MINUTE ORDER granting27 defendant’s motion to hold in abeyance23 plaintiff’s motion for partial summary judgment. The Court has broad authority to control the disposition of the cases on its docket. See Landis v. N. Am. Co., 299 U.S. 248, 254-55 (1936). The Court cannot agree with plaintiff that allowing the parties to brief summary judgment maximizes efficiency, especially because the Court must first assure itself of jurisdiction. See, e.g., Furniture Brands Int’l Inc. v. U.S. Int’l Trade Comm’n, No. 11-202, 2011 WL 10959877, at *1 (D.D.C. Apr. 8, 2011) (“[St]aying further briefing of the plaintiff’s summary judgment motion will allow the parties to avoid the unnecessary expense, the undue burden, and the expenditure of time to brief a motion that the Court may not decide.”). Therefore, the Court DENIES WITHOUT PREJUDICE23 plaintiff’s motion for partial summary judgment. Plaintiff may refile its motion for summary judgment, assuming the Court denies the defendant’s pending motion to dismiss. Signed by Judge Emmet G. Sullivan on 8/16/2018.
