“Significant Competitive Advantage” – $100 Million Factory-Building Project Capacity

BROOKLYN, N.Y. – Oct 3, 2018– SG Blocks, Inc.  provided the Daily Business News on MHProNews with a press release that said, “(NASDAQ: SGBX), a leading designer, innovator and fabricator of container-based structures, announced it has formed a strategic alliance with Harrison, Walker and Harper (HWH), an engineering, contracting and industrial services firm. HWH will be SG Blocks’ preferred partner to perform all the site work and installation of projects across the U.S. This includes single-family container-based modular homes that will be built through its subsidiary SG Residential. HWH will also provide up to $100 million in bonding capacity for projects that give both companies a significant competitive advantage.”

 

Let’s focus for a moment on that last line, which is one reason why MHProNews elected to publish this release.  “HWH will also provide [SG Blocks] up to $100 million in bonding capacity for projects that give both companies a significant competitive advantage.”

There are several factors that have thus far limited the applicability of container housing’s use as single family homes that may compete with manufactured homes.

One of those factors is capacity.

But as capacity and demand rise, pricing may well decline per unit.  If so, that and other advances could make SG Blocks a potential competitor to manufactured housing in some applications.

HWH is a well-established company and a leader in the built environment sector,” stated Paul Galvin, Chairman and CEO of SG Blocks. “We are excited at our new partnership, which will offer our clients a national solution at the installation level.”

We’ve been trained by the media to think that things are always getting worse – including on subjects like poverty,” said Visual Capitalist in comments to the Daily Business News on MHProNews.

 

For example,” Jeff Desjardins wrote, “a recent survey showed that 87% of respondents thought that global poverty rates haven’t changed, or have gotten worse, over the last 30 years. However, the exact opposite is true.”

One billion people have been lifted out of extreme poverty since 1990,” the statement continued, with the provided infographic “putting the important issue into the context of data.”

Facts Matter, and Where Poverty Still Exists

The United States and the West has played a role in spreading rising incomes to much of the world, through trade, investments, grants, and aide. That doesn’t mean that there hasn’t been corruption or waste in those efforts. But it does reflect that conditions have steadily improved.

Let’s briefly note that third world countries have a keen interest in prefab housing.

ELKHART, Ind., — “Over 400 industry leaders, friends, colleagues and guests gathered at RV/MH Hall of Fame  last night (August 6,  2018)  to help celebrate the induction of the Class of 2018 into the RV/MH Hall of Fame (Hall),” said the hall in a statement to the Daily Business News on MHProNews.

The RV industry inductees include Derald Bontrager, Jayco Corporation; Roger Faulkner, General Coach Canada; Gregg Fore, Dicor Corporation; Rebecca (Becky) Lenington, Pennsylvania RV and Camping Association; Daniel R Pearson; Pleasureland RV,” per Ryan Szklareks.

On the manufactured housing side, the inductees include Michael A. Cirillo, Star Management: Darrel Cohron and Harrel Cohron (deceased), Cohron’s Manufactured Homes; John Evans, California Manufactured Housing Institute (CMHI); Gub Mix, Idaho, Utah, Nevada and Arizona State MH Associations; Bill Wilson, Cherry Hill Homes, Inc.,” said Szklareks.

Before the induction ceremonies, Hall President Darryl Searer, said in his “Annual State of the Hall” address, “Besides this being our 46th year in existence, this is our eleventh year at this beautiful location and my seventh State of the Hall address.  I’m excited as we continue to make great progress in all areas of the operation. Income is up and expenses are down. Our debt continues to be paid down at an aggressive pace, and we are financially stable and operating in the black. But we still have a very small amount of debt.”

I can now announce with certainty that on or before December 31st of this year we will be debt free!  We would never have been able to achieve this goal without all companies and individuals that have made this goal possible by their generous donations.  I especially thank those who have contributed to the Kevin Clayton Debt Reduction program which started less than four years ago is now at 98 percent of its $1 million goal. Searer pointed out that when it looked like the Hall of Fame could become a thing of the past. He said, “Jim rejoined the board of directors and did something about it. Today our financial worries are behind us thanks to this man’s concern and love for the Hall.

“He also has been the driving force behind the temporary Scoular MH Museum now available for all to enjoy.”

The RV/MH Hall of Fame’s Annual Induction Dinner celebrating the Class of 2018 is only a month away,” according to Darryl Searer, president, RV/MH Heritage Foundation.

Searer said, “We are on track to break the all-time attendance record for our induction dinner so I urge anyone planning to attend to register now to insure quality seating for the event.”

The induction ceremony will be held on August 6, 2018, at the Hall of Fame’s Northern Indiana Event Center in Elkhart, Indiana.

The 2018 Induction Dinner celebration begins at 5:30 p.m. with a cash bar cocktail party, followed by the dinner and induction ceremonies at 6:30 p.m. Searer said that “I hope all the friends and colleagues of the inductees and industry members will join us in honoring these outstanding industry pioneers who have had a major impact on our professions and lives.”

This year’s class includes five members of the RV industry and six from the manufactured housing industry.

The RV industry inductees include Derald Bontrager, Jayco Corporation; Roger Faulkner, General Coach Canada; Gregg Fore, Dicor Corporation; Rebecca (Becky) Lenington, Pennsylvania RV and Camping Association; Daniel R Pearson; Pleasureland RV.

Attorney General Sues Manufactured Home, Modular Housing Company, and owner Stanley Hall

New York “Attorney General Barbara D. Underwood today announced an order directing Walker’s Manufactured Housing, Inc. (“Walker’s”) and its owner, Stanley Hall, to explain their failure to sit for testimony as required by the Attorney General’s subpoena,” said in a release to the Daily Business News.

 

My office will aggressively investigate retailers of manufactured home and land deals who shirk their legal obligations to provide homes that are safe, durable, and suitable for occupancy,” Attorney General Underwood said. “Transparency and fair dealing is necessary in every transaction involving New York State consumers.”

Underwood is the acting AG in New York. She took over the role recently, after a scandal forced the resignation of her predecessor earlier this month. 4 different women alleged that prior AG Eric Schneiderman sexually assaulted and abused them, per the New York Times.

Following multiple consumer complaints, the Attorney General’s office opened an investigation into the company’s business practices and issued a subpoena for Stanley Hall to appear for questioning,” the state tells MHProNews.

Mr. Hall refused to answer questions, improperly asserting a blanket Fifth Amendment privilege, and terminated the hearing. The order issued by Supreme Court Judge James P. McClusky of Jefferson County compels Walker’s and Stanley Hall to explain why the Judge shouldn’t further order their compliance with the Attorney General’s investigation, per the NY AG’s office.

Multiple consumers in Jefferson County filed complaints with the Attorney General’s office regarding the advertising, sales, and installation practices of Walker’s Manufactured Housing, Inc.,” stated the attorney general’s office.

The Attorney General issued a subpoena to Stanley Hall to appear for questioning.  But Hall refused to answer any questions and terminated the hearing, per the AG’s release. The order announced gives Walker’s and Mr. Hall until late June to explain their failure to properly provide testimony to aid the Attorney General’s investigation.

Mr. Hall said he has never received any complaints of incomplete buildings, delays, not following design specifications or other similar accusations in 52 years of business. When asked why he asserted his Fifth Amendment rights during the conference, Mr. Hall said he was following his attorney’s advice,” per the Watertown Daily News.

There’s a lot of false information; a lot of false accusations” from the AG’s office, Mr. Hall told local media.

Per their release, Toronto based ECN will pay $100 million in cash (C$125M) for Triad. “In addition, ECN Capital has agreed to an incentive compensation plan with senior management that will be based on the achievement of a prescribed return on average equity (ROAE) over the next five years.”

The firm stated that Triad,

  • Originates prime and super-prime manufactured home loans through a national network of dealers and manufacturers.”
  • Exceptional 50+ year old business led by longtime CEO Don Glisson, Jr.”

Not mentioned in the release was Triad’s reportedly rapid growth in the manufactured home community lending program, which provides a mechanism for community operators to utilize Triad’s origination platform to make loans that the Triad’s normal credit profile would not make.

The transaction includes employees, systems, intellectual property, operations, offices, agreements, and other assets of Triad.

The transaction, which is expected to close in the first quarter of 2018, is subject to customary closing conditions, including regulatory approvals.

Are the Blind, Leading Legally? Ruling on Websites, ADA Puts MH Businesses on Notice

That a wide array of private businesses are subject to the Americans with Disabilities Act (ADA) is not a surprise to thousands of manufactured housing industry professionals from coast to coast.

As recently as this month, Fair Housing attorney – Nadeen Green, JD – has published on the subject of accommodations for service animals and the ADA.

But in this recent court ruling, a federal judge in Florida ruled that a business – grocer Winn-Dixie – “must comply with the Americans with Disabilities Act (ADA) because the website is “heavily integrated” with the store’s physical location,” the Ballard Sphar Accessibility [Law] Group (BSAG), tells MHProNews.

The legal brief said in part, “This case is notable because it is one of the first, if only, Title III ADA website accessibility cases to go to trial.”

Title III of the ADA, which applies only to private entities, prohibits places of “public accommodation” from discriminating in the full and equal enjoyment of goods, services, and facilities on the basis of an individual’s disability. Drafted in 1990 before the internet boom, the ADA lists 11 categories of physical locations that fall under its purview,” Ballard Sphar said.

In Gil v. Winn-Dixie Stores, Inc., the plaintiff alleged that the Winn-Dixie website was inaccessible to blind individuals like him,” said BSAG. “Specifically, he alleged that the inaccessibility of the website prevented him from enjoying features of the website such as accessing digital coupons, using the online pharmacy, and finding store locations.”

BSAG elaborated by saying that “The judge found that the online content, including digital coupons, pharmacy, and store locator feature, were sufficiently connected to the physical stores such that the plaintiff was denied the full and equal enjoyment of Winn Dixie’s goods and services.”

The court ordered an injunction, requiring the parties to confer on a timeline for making the website accessible in conformance with the Web Content Accessibility Guidelines (WCAG) 2.0 criteria, an international standard for making internet content accessible,” the legal group said.

The legal precedent could be far reaching.

MH Industry Impact?

Among the sources that tipped the Daily Business News to this issue is an industry attorney, who does not specialize in such matters, but felt that it could in fact be applied to a variety of businesses in the manufactured home industry that involves public access that falls under the ADA.  Such businesses would be well advised to see how this applies to them, and if their websites’ ought to meet under the ADA – “Web Content Accessibility Guidelines (WCAG) 2.0 criteria.”  ##

New Player Enters Manufactured Home, Communites, RV Game

Gelt Inc., a Tarzana, California based real estate investment firm, has announced the formation of a new subsidiary to purchase and manage manufactured home and RV communities.

According to the San Fernando Valley Business Journal, the new company, called Happy Home Communities, will buy and manage various communities in a sector they feel is primed for growth.

This sector that is under the radar, stable and offers people a low-cost alternative to apartments and homes,” said Gelt partner and co-founder Keith Wasserman and Chief Operations Officer Jeff Harris.

Wasserman and Harris also announced the hiring of Ellie Davis to buy and manage operations of the properties for Happy Home and cultivate broker, lender and resident relationships.

Davis has extensive expertise in the manufactured home sector, managing more than 4,000 home sites and 11 resorts, and was most recently regional VP for Sun Communities in Southfield, Michigan.

Also announced was Happy Home Communities first purchase, De Rancho Y Mobile Villa manufactured home community in nearby Bakersfield.

De Rancho Y already boasts a strong occupancy of 97 percent and a stabilized cashflow yield, but we see continued upside through the renovation of common areas and amenities,” said Davis.

We plan to renovate the playground, sport court, and add an open gazebo/barbeque area or dog park. Other planned improvements include asphalt repairs, pool area renovations and the potential addition of mobile homes [sic] into current vacant spaces.”

Manufactured Housing Industry Acquisitions Announced

On the acquisition front in the manufactured housing industry, Universal Forest Products, Inc. (NASDAQ: UFPI) has announced two acquisitions.

Through one of its affiliates, UPFI has closed on the purchase of certain assets of Quality Hardwood Sales.

Based in Nappanee, Indiana, Quality Hardwood Sales is a manufacturer and supplier of hardwood products, including components for cabinets used in homes and recreational vehicles.

According to Street Insider, the acquisition is UPFI’s first operation devoted to hardwood products, and will expand the company’s portfolio while providing Quality Hardwood with additional markets for its products and the opportunity to grow its customer base and product offering.

Based in Tampa, Florida, Robbins manufacturers treated wood products with facilities in Florida, Georgia and North Carolina.

Founded in 1938, the company has two divisions, including Robbins Treating and Manufacturing, which operates six wood treating facilities, including an operation in Tarrytown, Florida, which it will continue to operate. The remaining five operations are included in the acquisition, with net sales of $86 million in 2016.

Headquartered in Grand Rapids, Mich., UFPI is a component supplier to the MH and RV industries.

Patrick Industries, Inc. (NASDAQ:PATK), one of the leaders in supplying the manufactured housing, RV and industrial markets, has announced that it expects to release its Q3 2016 financial results prior to the market open on October 27th.
